OKLAHOMA JOE’S BRAND INTERNET MINIMUM ADVERTISED PRICE POLICY

Effective: September 1, 2022

Char-Broil, LLC (“Char-Broil”) has made significant investments in its products and brands, including Oklahoma Joe’s branded products. Char-Broil has unilaterally established the following Internet Minimum Advertised Price Policy (“IMAP Policy”) to protect its investments and the integrity of its brands and products with advertising practices consistent with their premium quality and reputation.

 

I. Scope of Policy

This IMAP Policy applies to all Oklahoma Joe’s products unless otherwise specified (“Covered Products”), which Char-Broil reserves the right, in its sole discretion, to modify from time to time.

This IMAP Policy applies to all distributors, wholesalers, retailers, and other resellers (collectively, “Resellers”) of Covered Products on the internet in the United States.

This IMAP Policy applies only to minimum advertised prices and does not apply to the price at which Covered Products are actually sold. Resellers are free to set and sell Covered Products at any prices they elect.

This IMAP Policy is not intended to be, nor is it to be construed as, an agreement between Char- Broil and any Resellers. This IMAP Policy is not negotiable, and Char-Broil neither requests nor will accept any input about this IMAP Policy or its enforcement from any Resellers.

 

II. Policy Guidelines

Char-Broil, in its sole discretion, establishes the minimum advertised price (“MAP”) for Covered Products through the MAP documentation provided from time to time. Resellers are free to advertise (and sell) Covered Products at any prices they elect, but it will be a violation of this IMAP Policy to advertise any Covered Products on the internet at a price lower than the MAP.

For purposes of this IMAP Policy, the terms “advertise” and “advertisement” include all promotional or pricing information found or displayed on the internet, including but not limited to, websites, blogs, social media, affiliate marketing networks/comparison shopping engines, e- mails, mobile/smart phone applications, banner ads, online product ads, paid search ads, pay-per- click ads, display ads, mobile ads, product listing ads, sponsored links, and ads in any other media in a digital format that is communicated or conveyed via the internet.

Pricing information displayed at checkout stage of a transaction on the internet is not considered “advertising” under this IMAP Policy. The “checkout stage” is the stage when the Covered Product is put into a shopping cart that contains the customer’s name, shipping address, email address, and payment information. Pricing information in the “shopping cart” or “checkout stage” must be obscured technically so that it is not retrievable by shopping and pricing engines, and not displayed on search page results within the Reseller’s own website.

Char-Broil may occasionally authorize temporary promotion periods for Resellers when certain Covered Products will be excluded from this IMAP Policy or when advertisements in accordance with the terms and conditions of the temporary promotion periods will not be deemed a violation of this IMAP Policy. Char-Broil will communicate these authorized temporary promotion periods directly with Resellers or by updating the MAP documentation.

 

III. Enforcement
Char-Broil following actions against any Reseller that violates this IMAP Policy:

  • Char-Broil will notify the Reseller about the violation.
  • Upon a violation within ten business days of its initial notice, Char-Broil will send a second notice and withhold pending and future orders of Covered Products from the Reseller for a period of twenty business days.
  • Upon a violation within twenty business days from its second notice, Char-Broil will stop accepting future orders of Covered Products from the Reseller.

Char-Broil may monitor the advertised prices of its Covered Products by Resellers, including through a third-party. No Char-Broil employee, vendor, supplier, or sales representative is authorized to, nor shall they, modify, interpret, or grant exceptions to this IMAP Policy. Char-Broil reserves the right, in its sole discretion, to unilaterally modify, change, suspend, terminate, or update this IMAP Policy at any time with advance notice.
